Terms of Service

1. Purpose and publisher

These terms of use (the “Terms”) govern access to and use of the Adplico platform (the “Service”), published by Adplico LTD, a company incorporated in England with registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom. The Service is available at adplico.com and app.adplico.com. By accessing the Service, the user accepts these Terms in full.

2. Description of the Service

Adplico is an AI-driven ecommerce platform. It lets a merchant create and run one or more online stores — catalogue, sales pages, orders, customers, payments, shipping, domain name — through a conversational assistant that carries out the requested actions. The Service also includes advertising creation and distribution features on partner ad networks.

3. Access in waves

The Service is not open to free sign-up. Access is obtained by reserving a seat and is activated in successive waves, in reservation order. Adplico LTD alone determines the pace at which waves open and is bound by no firm activation deadline unless otherwise stated in writing. A reservation confers no right to immediate access.

4. User account

An account is required to use the Service once access is activated. The user undertakes to provide accurate information and to keep credentials confidential. Accounts are strictly personal; sharing is prohibited. The user is solely responsible for activity carried out from their account, including actions triggered by the assistant at their request.

5. Reservation, price and refund

Reserving a seat requires payment of the first month of subscription at the launch price, stated inclusive of all taxes before any commitment. This amount is fully refundable for as long as access has not been activated, under the conditions set out in the refund policy. Once access is activated, the subscription continues under article 6.

6. Subscriptions and billing

The Service is offered under several monthly or annual subscription plans, whose features and prices are disclosed before purchase. Payment is taken in advance for each period. Each plan grants a periodic allowance of usage credits, consumed by automated processing; additional credits, extra storage and extra seats may be purchased separately. In the event of non-payment, Adplico LTD may suspend or downgrade access after notice.

7. Stores and collection of sales

Stores created by the user are hosted by Adplico LTD, which acts as merchant of record for collecting sales made to end customers. Amounts collected are paid over to the user net of the disclosed commissions and fees. The user remains responsible for the compliance of their products, prices and mandatory disclosures, for their tax obligations, and for fulfilling orders towards their own customers.

8. Assistant and generated content

The Service uses artificial intelligence models to converse with the user, act on their store and produce content (text, images, video). This content is generated automatically: it may contain errors and must be reviewed before publication. The user remains responsible for any content they choose to publish or distribute, in particular with regard to trade mark law, copyright and consumer law.

9. Connecting third-party services

The Service allows third-party accounts to be connected (notably Meta, Google, payment and shipping providers) through delegated authorisation. The user thereby authorises Adplico to access only the resources strictly necessary for the Service to work. This authorisation may be revoked at any time, from the Service or from the third-party account. Use of those third-party services remains subject to their own terms.

10. Online advertising

When the user runs advertising through the Service, they commit their own ad accounts and their own budgets. Advertising spend is billed directly by the ad network concerned. The user remains solely responsible for the content of their ads and for compliance with the network's policies; Adplico LTD guarantees no result, no approval and no level of performance.

11. Intellectual property

The platform, its source code, design, trade marks and logos remain the exclusive property of Adplico LTD. Content and data uploaded by the user, or produced on their behalf, belong to them; they grant Adplico LTD a limited hosting and processing licence, strictly necessary to provide the Service.

12. Personal data

The processing of personal data is described in the Privacy Policy, which forms an integral part of these Terms. The user may at any time request access to, rectification of, export of or deletion of their data. End-customer data from a store is processed by Adplico LTD on the user's behalf, the user remaining the data controller.

13. Availability and changes

Adplico LTD endeavours to keep the Service continuously available but cannot guarantee uninterrupted operation. Maintenance may occur. The Service evolves regularly: features may be added, changed or withdrawn, with substantial changes announced in advance where possible.

14. Prohibited conduct and termination

The following are prohibited in particular: publishing unlawful, misleading or infringing content; selling prohibited or regulated goods without authorisation; any attempt at unauthorised access, circumvention of usage limits or automated extraction; using the Service to harm a third party. The user may delete their account at any time. Adplico LTD may suspend or terminate access in the event of breach, with immediate effect where the breach is serious.

15. Liability and changes to these Terms

To the extent permitted by law, Adplico LTD's liability is limited to the amount paid by the user over the preceding twelve months. Indirect damage and loss of business, revenue or data are excluded. Adplico LTD may amend these Terms; substantial changes are notified by email or within the Service, and continued use constitutes acceptance.

16. Governing law and contact

These Terms are governed by English law. The courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory consumer-protection provisions in the user's country of residence. For any question, write to .
